Advised Citi on its sale of its "OFI" Polish fund and pension administration business

Overview

On June 15th 2009 Citi and Forum, a consortium owned by an affiliate of Atlantic Fund Administration and FPM International LLP, announced that Forum had acquired Obsluga Funduszy Inwestycyjnych (“OFI”), a provider of transfer agency and fund accounting services to investment fund, insurance and pension industries in Poland.

OFI was a wholly owned subsidiary of Citi and provides standalone transfer agency and fund accounting services to 13 institutional clients in the domestic Polish fund market.

Significance

The transaction reflects Citi’s decision to exit non-core or local businesses that do not fit with Citi’s global strategic direction and growth plans.

The transaction will allow Citi’s Securities and Fund Services core business to focus on the provision of cross-border services to global asset managers.

OFI clients will benefit from Forum’s focus on local transfer agency services; and Forum was selected by Citi because of its extensive experience in the operation of this business.
